Software licence
The terms on which the Intranet Suite is licensed. Each client’s maintenance agreement incorporates them.
- Version
- Intranet Suite licence, 2021 edition
- Applies to
- Release 2.0 and later
1. Grant
Runciter Associates (“the firm”) grants the client a non-exclusive, non-transferable licence to use the Intranet Suite (“the Software”) on the installation the firm has set up for it, for as long as a maintenance agreement is in force.
2. Installation
The Software is installed, configured and upgraded only by the firm’s engineers. The client will not alter the Software or ask anyone else to.
3. Accounts
The firm sets up an account for each member of the client’s staff and delivers a temporary password by courier. The client is responsible for asking its staff to change their passwords once the facility to do so is available.
4. Acceptance testing
The firm may provision an acceptance-test account on any installation for the purpose of testing it in the field. The account remains in place until the client raises a change request for its removal and that request has been approved and paid for.
5. Support
The firm provides support by telephone during business hours, Monday to Friday, 9 a.m. to 5 p.m. Eastern, including password resets.
6. Changes
Changes to the Software are made under change requests. Changes to authentication pages are billed at the firm’s premium rate, with a two-hour minimum, and require a manager’s approval and a purchase order.
7. Warranty
The Software is provided as installed. The firm does not warrant that it is free of defects, including defects that a client’s head of security may identify, but will consider any reported defect for a future release.
8. Liability
The firm’s liability under this licence is limited to the fees paid by the client in the twelve months before the claim.
9. Law
This licence is governed by the law of the State of New York.
